Do Not Track Signal

Anti-Bribery Policy
1. Purpose
1.1 SCIENTE-ALLIANCE (“the Company”) is committed to the practice of responsible corporate behaviour and to complying with all laws, regulations and other requirements which govern the conduct of our operations.
1.2 The Company is fully committed to instilling a strong anti-corruption culture and is fully committed to compliance with all anti-bribery and anti-corruption legislation including, but not limited to, the Bribery Act 2010 (“the Act”) and ensures that no bribes or other corrupt payments, inducements or similar are made, offered, sought or obtained by us or anyone working on our behalf.
2. Bribery
2.1 Bribery is defined as the giving or promising of a financial or other advantage to another party where that advantage is intended to induce the other party to perform a particular function improperly, to reward them for the same, or where the acceptance of that advantage is in itself improper conduct.
2.2 Bribery is also deemed to take place if any party requests or agrees to receive a financial or other advantage from another party where that advantage is intended to induce that party to perform a particular function improperly, where the acceptance of that advantage is in itself improper conduct, or where that party acts improperly in anticipation of such advantage.
2.3 Bribery of a foreign official is defined as the giving or promising of a financial or other advantage which is intended to influence the official in order to obtain business or an advantage in the conduct of business unless the foreign official is required or permitted by law to be influenced by such advantage.
3. Consequences of Bribery
3.1 Anyone or any organisation found guilty of bribery under the Act may face fines and/or prison terms. In addition, high legal costs and adverse publicity are likely to result from any breach of the Act.
3.2 For employees of the Company, failure to comply with this Policy and/or with the Act may result in:
3.2.1 disciplinary action which may include dismissal; and
3.2.2 criminal penalties under the Act which may result in a fine and/or imprisonment for up to 10 years.
3.3 For the Company, any breach of this Policy by any employee or business associate may result in:
3.3.1 the Company being deemed to be in breach of the Act;
3.3.2 the Company being subject to fines; and
3.3.3 the Company suffering negative publicity and further associated damage as a result of such breach.
4. Responsibility for Compliance and Scope of Policy
4.1 This Policy applies to all employees, agents, contractors, subcontractors, consultants, business partners and any other parties (including individuals, partnerships and bodies corporate) associated with the Company or any of its subsidiaries.
4.2 It is the responsibility of all of the abovementioned parties to ensure that bribery is prevented, detected and reported and all such reports should be made in accordance with the Company’s Whistleblowing Policy or as otherwise stated in this Policy, as appropriate.
4.3 No party described in section 4.1 may:
4.3.1 give or promise any financial or other advantage to another party (or use a third party to do the same) on the Company’s behalf where that advantage is intended to induce the other party to perform a particular function improperly, to reward them for the same, or where the acceptance of that advantage will in itself constitute improper conduct;
4.3.2 request or agree to receive any financial or other advantage from another party where that advantage is intended to induce the improper performance of a particular function, where the acceptance of that advantage will in itself constitute improper conduct, or where the recipient intends to act improperly in anticipation of such an advantage.
4.4 Parties described in section 4.1 must:
4.4.1 be aware and alert at all times of all bribery risks as described in this Policy and in particular as set out in section 9 below;
4.4.2 exercise due diligence at all times when dealing with third parties on behalf of the Company; and
4.4.3 report any and all concerns relating to bribery to CHRISTOPHER J HACKETT [DIRECTOR] or, in the case of non-employees, their normal point of contact within the Company, or otherwise in accordance with the Company’s Whistleblowing Policy.
5. Facilitation Payments
5.1 A facilitation payment is defined as a small payment made to officials in order to ensure or speed up the performance of routine or necessary functions.
5.2 Facilitation payments constitute bribes and, subject to section 5.3, may not be made at any time irrespective of prevailing business customs in certain territories.
5.3 Facilitation or similar payments may be made in limited circumstances where your life is in danger but under no other circumstances. Any payment so made must be reported to CHRISTOPHER J HACKETT [DIRECTOR] as soon as is reasonably possible and practicable.
6. Gifts and Hospitality
6.1 Gifts and hospitality remain a legitimate part of conducting business and should be provided only in compliance with the Company’s Gifts and Hospitality Policy.
6.2 Gifts and hospitality can, when excessive, constitute a bribe and/or a conflict of interest. Care and due diligence should be exercised at all times when giving or receiving any form of gift or hospitality on behalf of the Company.
6.3 The following general principles apply:
6.3.1 Gifts and hospitality may neither be given nor received as rewards, inducements or encouragement for preferential treatment or inappropriate or dishonest conduct.
6.3.2 Neither gifts nor hospitality should be actively sought or encouraged from any party, nor should the impression be given that the award of any business, custom, contract or similar will be in any way conditional on gifts or hospitality.
6.3.3 Cash should be neither given nor received as a gift under any circumstances.
6.3.4 Gifts and hospitality to or from relevant parties should be generally avoided at the time of contracts being tendered or awarded.
6.3.5 The value of all gifts and hospitality, whether given or received, should be proportionate to the matter to which they relate and should not be unusually high or generous when compared to prevailing practices in our industry or sector.
6.3.6 Certain gifts which would otherwise be in breach of this Policy and/or the Hospitality and Gifts Policy may be accepted if refusal would cause significant and/or cultural offence, however the Company will donate any gifts accepted for such reasons to a charity of CHRISTOPHER J HACKETT [DIRECTOR] choosing.
6.3.7 All gifts and hospitality, whether given or received, must be recorded in the Hospitality & Gifts Register.
7. Charitable Donations
7.1 Charitable donations are permitted only to registered (non-profit) charities. No charitable donations may be given to any organisation which is not a registered charity.
7.2 All charitable donations must be fully recorded in SCIENTE-ALLIANCE REGISTER
7.3 Proof of receipt of all charitable donations must be obtained from the recipient organisation.
7.4 Under no circumstances may charitable donations be made in cash.
7.5 No charitable donation may be made at the request of any party where that donation may result in improper conduct.
8. Political Donations
8.1 The Company does not make political donations and the Company is not affiliated with any political party, independent candidate, or with any other organisation whose activities are primarily political.
8.2 Employees and other associated parties are free to make personal donations provided such payments are not purported to be made on behalf of the Company and are not made to obtain any form of advantage in any business transaction.
9. Due Diligence and Risks
The following issues should be considered with care in any and all transactions, dealings with officials, and other business matters concerning third parties:
9.1 Territorial risks, particularly the prevalence of bribery and corruption in a particular country;
9.2 Cross-border payments, particularly those involving territories falling under section 9.1;
9.3 Requests for cash payment, payment through intermediaries or other unusual methods of payment;
9.4 Activities requiring the Company and / or any associated party to obtain permits or other forms of official authorisation;
9.5 Transactions involving the import or export of goods;

Environmental Policy
The Environmental Policy Of SCIENTE-ALLIANCE LTD (“the Company”) is to ensure so far as it is reasonably practicable that its operations will be carried out with a commitment to protecting and enhancing the environment.
As an office we know that we generate waste paper products. However as we strive for excellence in every aspect of our business we are committed to minimising the environmental impacts of the business operation.
1. Our stated aims are to:
1.1 Aim to continuously improve our environmental performance particularly with regards to our recycling and re-use of paper.
1.2 Where possible we will use recycled or ecologically friendly paper.
1.3 We will use ‘waste’ paper for notepads unless confidentiality may be compromised.
1.4 Reduce our consumption of resources and improve the efficiency of those resources by printing double sided where practicable.
1.5 Manage waste generated from my business operations according to the principles of reduction, re-use and recycling.
1.6 Recycle all paper products, ink or toner cartridges.
1.7 Comply as a minimum with all relevant environmental legislation as well as other environmental requirements.
This Environmental Policy Statement will be regularly reviewed and updated as necessary. The management team endorses these policy statements and is fully committed to their implementation.
Ethical Policy
1.Purpose
1.1 SCIENTE-ALLIANCE LTD (“the Company”) is committed to the practice of responsible corporate behaviour.
1.2 Through its business practices, the Company seeks to protect and promote the human rights and basic freedoms of all its employees and agents.
1.3 Further the Company is committed to protecting the rights of all of those whose work contributes to the success of the Company, including those employees and agents of suppliers to the Company.
1.4 The Company is also committed to eliminating bribery and corruption. It is essential that all employees and persons associated with the Company adhere to this policy and abstain from giving or receiving bribes of any form.
1.5 This policy is non-exhaustive, and all aspects of the Company’s business should be considered in the spirit of this policy.
2. Human Rights
2.1 The Company is vehemently opposed to the use of slavery in all forms; cruel, inhuman or degrading punishments; and any attempt to control or reduce freedom of thought, conscience and religion.
2.2 The Company will ensure that all of its employees, agents and contractors are entitled to their human rights as set out in the Universal Declaration of Human Rights and the Human Rights Act 1998.
2.3 The Company will not enter into any business arrangement with any person, company or organisation which fails to uphold the human rights of its workers or who breach the human rights of those affected by the organisation’s activities.
3. Workers’ Rights
3.1 The Company is committed to complying with all relevant employment legislation and regulations. The Company regards such regulations and legislation as the minimum rather than the recommended standard.
3.2 No worker should be discriminated against on the basis of age, gender, race, sexual orientation, religion or beliefs, gender reassignment, marital status or pregnancy. All workers should be treated equally. Workers with the same experience and qualifications should receive equal pay for equal work.
3.3 No worker should be prevented from joining or forming a staff association or trade union, nor should any worker suffer any detriment as a result of joining, or failing to join, any such organisation.
3.4 Workers should be aware of the terms and conditions of their employment or engagement from the outset. In particular workers must be made aware of the wage that they receive, when and how it is to be paid, the hours that they must work and any legal limit which exists for their protection and any overtime provisions. Workers should also be allowed such annual leave, sick leave, maternity / paternity leave and such other leave as is granted by legislation as a minimum.
3.5 The Company does not accept any corporal punishment, harassment in any form, or bullying in any form.
4. Environmental Issues
4.1 The Company is committed to keeping the environmental impact of its activities to a minimum and has established an Environmental Policy in order help achieve this aim. Copies of the Environmental Policy are available from hq@sciente-alliance.uk
4.2 As an absolute minimum, the Company will ensure that it meets all applicable environmental laws in whichever jurisdiction it may be operating.
5. Conflicts of Interest
5.1 The Company holds as fundamental to its success the trust and confidence of those with whom it deals, including clients, suppliers and employees. Conflicts of interest potentially undermine the relationship of the Company with its partners.
5.2 In order to help preserve and strengthen these relationships the Company has developed a Corporate Hospitality and Gifts Policy, which provide rules and guidelines concerning the conduct of its officers and employees aimed at minimising the possibility of conflicts of interest and at avoiding risks associated with bribery and corruption. 5.3 All officers, employees and representatives of the Company are expected to act honestly and within the law.
6. Information and Confidentiality
6.1 Information received by employees, contractors or agents of the Company will not be used for any personal gain, nor will it be used for any purpose beyond that for which it was given.
6.2 The Company will process any personal data collected in accordance with its Data Protection Policy.
7. Shareholders and Investors
The Company, its officers, employees and representatives are committed to ensuring that no act or omission which is within their power and which would have the effect of deliberately, negligently or recklessly misleading the shareholders, creditors or other investors in the Company occurs.
8. Suppliers and Partners
8.1 The Company expects all suppliers and partners to work towards and uphold similar ethical and moral standards.
8.2 The Company will investigate the ethical record of potential new suppliers before entering into any agreement. Further, the Company reserves the right to request information from suppliers regarding the production and sources of goods supplied.
8.3 The Company reserves the right to withdraw from any agreement or other arrangement with any supplier or partner who is found to have acted in contravention of the spirit or principles of this Ethical Policy.
9. Bribery and Corruption
9.1 The Company is fundamentally opposed to any acts of bribery and to the making of facilitation payments as defined by the Bribery Act 2010.
9.2 Employees and any other persons associated with the Company such as agents, subsidiaries and business partners are not permitted to either offer or receive any type of bribe and/or facilitation payment.
9.3 All employees are encouraged to report any suspicion of corruption or bribery within the Company in accordance with the Whistleblowing Policy available from hq@sciente-alliance.uk
9.4 In the event that an individual reports suspected instances of bribery, the Company will process any personal data collected in accordance with its Data Protection Policy. Data collected will be held securely and accessed by, and disclosed to, individuals only for the purposes of dealing with the report of bribery.
9.5 Should any employee or associated person be in doubt when receiving or issuing gifts and hospitality, he/she must refer to the Gift and Hospitality Policy available from hq@sciente-alliance.uk
9.6 The Company uses its reasonable endeavours to implement the guidance principles on bribery management that are published, from time to time, by Secretary of State in accordance with Section 9 of the Bribery Act 2010.
9.7 If an employee or associated person is found guilty of giving or receiving a bribe, he/she will be personally criminally liable and may be subject to disciplinary action.
9.8 Anyone found guilty of bribery, will be responsible for bearing any related remedial costs such as losses, court fees or expenses.

4. Definition of Discrimination
Discrimination is unequal or differential treatment which leads to one person being treated more or less favourably than others are, or would be, treated in the same or similar circumstances on the grounds of race, sex, pregnancy and maternity, marital or civil partnership status, gender reassignment, disability, religion or beliefs, age or sexual orientation. Discrimination may be direct or indirect, and includes discrimination by perception and association.
5. Types of Discrimination
5.1 Direct Discrimination
This occurs when a person or a policy intentionally treats a person less favourably than another on the grounds of race, sex, pregnancy and maternity, marital or civil partnership status, gender reassignment, disability, religion or beliefs, age or sexual orientation.
5.2 Indirect Discrimination
This is the application of a policy, criterion or practice which the employer applies to all employees but which is such that:
• It is it detrimental to a considerably larger proportion of people from the group that the person the employer is applying it to represents;
• The employer cannot justify the need for the application of the policy on a neutral basis; and
• The person to whom the employer is applying it suffers detriment from the application of the policy.
Example: A requirement that all employees must be 6ft tall if that requirement is not justified by the position would indirectly discriminate against employees with an oriental ethnic origin, as they are less likely to be able to fulfil this requirement.
5.3 Harassment
This occurs when a person is subjected to unwanted conduct that has the purpose or effect of violating their dignity or creating an intimidating, hostile, degrading, humiliating or offensive environment.
5.4 Victimisation
This occurs when a person is treated less favourably because they have bought or intend to bring proceedings or they have given or intend to give evidence.
6. Unlawful Reasons for Discrimination
6.1 Sex
It is not permissible to treat a person less favourably on the grounds of sex, marital status, civil partnership, pregnancy or maternity, gender reassignment or transgender status. This applies to men, women and those undergoing or intending to undergo gender reassignment. Sexual harassment of men and women can be found to constitute sex discrimination. Example: Asking a woman during an interview if she is planning to have any (more) children constitutes discrimination on the ground of gender.
6.2 Age
It is not permissible to treat a person less favourably because of their age. This applies to people of all ages. This does not currently apply to the calculation of redundancy payments.
6.3 Disability
It is not permissible to treat a disabled person less favourably than a non-disabled person. Reasonable adjustments must be made to give the disabled person as much access to any services and ability to be employed, trained, or promoted as a non-disabled person.
6.4 Race
It is not permissible to treat a person less favourably because of their race, the colour of their skin, their nationality or their ethnic origin.
6.5 Sexual Orientation
It is not permissible to treat a person less favourably because of their sexual orientation. For example, an employer cannot refuse to employ a person because s/he is homosexual, heterosexual or bisexual.
6.6 Religion or Belief
It is not permissible to treat a person less favourably because of their religious beliefs or their religion or their lack of any religion or belief.
7. Positive Action in Recruitment
Under the Equality Act 2010, positive action in recruitment and promotion applies as of 6 April 2011. ‘Positive action’ means the steps that the Company can take to encourage people from groups with different needs or with a past record of disadvantage or low participation, to apply for positions within the Company. If the Company chooses to utilise positive action in recruitment, this will not be used to treat people with a protected characteristic more favourably, it will be used only in tie-break situations, when there are two candidates of equal merit applying for the same position.
8. Reasonable Adjustments
The Company has a duty to make reasonable adjustments to facilitate the employment of a disabled person. These may include:

9. Responsibility for the Implementation of this Policy
All employees, subcontractors and agents of the Company are required to act in a way that does not subject any other employees or clients to direct or indirect discrimination, harassment or victimisation on the grounds of their race, sex, pregnancy or maternity, marital or civil partnership status, gender reassignment, disability, religion or beliefs, age or sexual orientation.
The co-operation of all employees is essential for the success of this Policy. Senior employees are expected to follow this Policy and to try to ensure that all employees, subcontractors and agents do the same.
Employees may be held independently and individually liable for their discriminatory acts by the Company and in some circumstances an Employment Tribunal may order them to pay compensation to the person who has suffered as a result of discriminatory acts. The Company takes responsibility for achieving the objectives of this Policy, and endeavours to ensure compliance with relevant Legislation and Codes of Practice.

12. The Extent of the Policy
12.1 The Company seeks to apply this Policy in the recruitment, selection, training, appraisal, development and promotion of all employees. The Company offers goods and services in a fashion that complies with the spirit of this Policy.

Health and Safety Policy - Working at Home
1. Introduction
1.1 This Policy should be read in conjunction with the main Company Health and Safety Policies.
1.2 SCIENTE-ALLIANCE LTD (“the Company”) recognises and accepts its responsibilities to Employees under the Health and Safety at Work etc Act 1974. The Company accepts this responsibility extends to the employee’s working environment at their home, and will ensure so far as reasonably practicable:
1.2.1 the means to maintain a safe and healthy place of work
1.2.2 provision and maintenance of such equipment or tools as is necessary for the employee to carry out their work
1.2.3 safe access to and from the places of work
1.2.4 adequate information, instruction, and training to prevent accidents and work related ill health
1.2.5 a Fire Risk Assessment is carried out to ensure the safety of the employee and any other Company staff or visitors
2. General Health and Safety
2.1 The overall responsibility for health and safety within the Company lies with the DIRECTORS has day to day responsibility for managing health and safety which includes staff members who work remotely.
2.2 The Company will ensure that the employee’s work area at home is set up to an adequate standard to suit the employee, and to comply with the relevant Regulations.
2.3 The employee is responsible for ensuring that his/her working area is maintained to a satisfactory standard and for informing their line manager if any part of the environment requires alteration.
2.4 If any part of the employee’s home is to be used for client/customer interfacing, the Company may require (at its discretion) that specified areas are used solely for Company business activities.
3. Employee’s Duties:
3.1 The employee will ensure that any parts of their home designated as ‘work’ areas are maintained to professional standards.
3.2 Working with the Company Health & Safety management, the employee shall ensure that any hazards inherent with their work activities are properly managed, and that the same protocols as would apply at the Company’s premises are implemented.
3.3 It will be the responsibility of the employee to ensure the safety of any visiting Company visitors/clients/customers.
3.4 If any part of the work area becomes unsuitable by dint of the work process changing, damage or breakdown of equipment or furniture etc, or by the employee’s physical needs, he/she must inform their line manager as soon as reasonably practicable.
3.11 Where PPE is needed following a Company Risk Assessment, the employee is required to use it.
This policy will be reviewed annually or when there is a change in circumstances, in work practices or the introduction of new legislation.
MODERN SLAVERY POLICY
SCIENTE-ALLIANCE LTD is committed to maintaining and improving systems and processes to avoid complicity in human rights and modern slavery violations related to our own operations and that of our supply chain.
We have a multi-disciplined supply chain to support us through the different aspects and provisions of our business. Our recruitment processes are transparent and reviewed regularly. We have robust procedures in place for the vetting of new employees and ensure that we are able to confirm their identities and that they are paid directly into an appropriate, personal bank account. We have implemented a number of processes to ensure, as reasonably practicable, that our supply chain adhere to our expectations in respect of their workforce. SCIENTE-ALLIANCE LTD have mandated, where appropriate, that our supply chain should be registered with Constructionline, or have completed our pre-qualification process. On every occasion, the information obtained during this process is vetted by a senior member of our business and a Director who is ultimately responsible for deciding whether the supplier is appropriate to work for our business. The implementation and operation of this management system underlines our commitment to this policy statement. SCIENTE-ALLIANCE LTD undertakes due diligence when considering new suppliers, and regularly reviews its existing supply chain to ensure that they are compliant with our requirements and expectations. Suppliers employing or providing non-UK Nationals undergo appropriate investigation to understand their recruitment methods and their management of permits and working visas. The statement will be reviewed and updated annually.
